		Non-Commercial Software Licence Contract (No. X)

This Contract is entered into between

      University College London, of Gower Street, London WC1E 6BT hereinafter 
      called "the Licensor", and

      XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX
      
      hereinafter called "the licensee"

WHEREAS:

A.    The Licensor has developed

      OSIMIS-4.0 software as it exists in the compressed tar files,
      osimis-4.0.tar.Z.crypt and osimis-4.0-bin.tar.Z.crypt,
      in the UCL OSIMIS FTP area on or after 31st August 1994 as 
      described in Schedule 1, hereinafter called "OSIMIS".

B.    Licensor is willing to licence such software and to grant certain rights 
      to Licensee regarding such software;

C.    Licensee desires to licence such software from Licensor on the terms and 
      conditions hereinafter appearing; and

D.    Licensor represents and warrants that it has right to licence OSIMIS, 
      which Licensee desires to licence.

IT IS NOW AGREED AS FOLLOWS:

Clause 1 Technical Field of Application

      This Licence extends to all technical fields of application of OSIMIS 
      and to every other use necessarily implied by such application.

      The Licensee undertakes to inform the Licensor in good faith and without 
      reservation of any uses not envisaged by him at the time when this 
      Contract was made, which subsequently appears to him practicable or 
      which he proposes to put into effect.

Clause 2 Purpose

      By this Agreement Licensor and Licensee agree in the terms and conditions
  
      on which

      a)   Licensor shall provide one source code copy of OSIMIS to Licensee as
           specified in this Agreement;

      b)   Licensee may use, further develop and modify OSIMIS. 

      c)   Licensor shall grant rights to Licensee for the above-mentioned 
           purposes as specified in this Agreement.

Clause 3 Nature of the Licence

      The Licence of OSIMIS is non-exclusive.

Clause 4 Licence fee

      Licence fee for the Licence in Clause 3 is for zero pounds (0.00).

Clause 5 Sub-licences

      The Licensee shall not grant sub-Licences for OSIMIS in source or
      binary code form. 

Clause 6 Permitted Use of OSIMIS

      Licensee shall be entitled to use OSIMIS in any equipment.

      Licensee shall be entitled to modify OSIMIS.

Clause 7 Prohibited Use of OSIMIS

      Licensee shall not use OSIMIS in full or in part in any commercial
      product.

      Licensee shall not pass OSIMIS in full or in part to any third party.

Clause 8 Previous versions of OSIMIS

      The rights of the Licensee and its sub-licensees to use the earlier
      public domain version of OSIMIS (OSIMIS-3.0) are unaffected by this
      agreement.

Clause 9 Assignment

      Licensee may not assign, delegate or otherwise transfer this Contract 
      or any of its rights or obligations without the Licensor's prior 
      written approval, which shall not be unreasonably withheld.

Clause 10 Warranties

      The OSIMIS is provided as is.

      This Agreement does not include any warranties, express or implied that 
      the manufacture of, use of, or dealing with OSIMIS will not infringe any 
      valid and subsisting rights of third parties nor as to the performance or
 
      functioning of OSIMIS.

      The Licensee shall indemnify the Licensor from and against all claims, 
      demands, actions, liabilities and damages made by, or awarded to, any 
      person and any costs and expenses thereof which arises from or is 
      connected with the evaluation, use, storage, modification, or disposal 
      of OSIMIS.

Clause 11 Installation of OSIMIS

      Licensee shall install OSIMIS.

Clause 12 Support

      The licensor offers no support for OSIMIS.

Clause 13 Training

      No training is included in this licence.

Clause 14 Entire agreement

      This Agreement constitutes the entire agreement between the Parties and 
      it supersedes all prior agreements, understandings, negotiations and 
      discussions, whether oral or in writing, of the Parties on that subject.

Clause 15 Validity

      The construction, validity and performance of this Agreement shall be 
      governed by English law and unless otherwise agreed, all questions in 
      any way affecting or arising out of this Agreement shall be subject to 
      the exclusive jurisdiction of the English courts.
